This Owner Subscription Agreement (the "Agreement") supplements the Terms of Service and applies when a restaurant or business ("Owner", "you") subscribes to a paid BlackPlate plan from BlackPlate, LLC ("BlackPlate", "we").
1. Plans
BlackPlate offers three subscription tiers, described on the license page:
- Starter — one verified listing, basic insights, lead capture.
- Pro — featured placement, full traffic analytics, AI coach access, monthly owner reports.
- Multi-Location — up to five locations under one account with consolidated insights.
2. Trial
New owners receive a 14-day free trial. We will not charge you during the trial. If you do not cancel before the trial ends, your subscription will begin automatically at the plan price you selected.
3. Billing
- Subscriptions are billed in advance on a monthly basis to the payment method on file.
- All prices are in US dollars and exclude applicable taxes, which will be added at checkout where required.
- You authorize BlackPlate (and our payment processor) to charge your payment method on each renewal date until the subscription is canceled.
- If a charge fails, we may retry, suspend Pro features, and ultimately downgrade the account to free.
4. Cancellation & refunds
You may cancel anytime from your owner dashboard. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial periods, except where required by law. If you believe you were charged in error, email billing@blackplate.com within 30 days and we will work with you in good faith.
5. Price changes
We may change plan pricing with at least 30 days' notice by email. New pricing applies to the renewal that follows the notice period; you can cancel before then to avoid the new price.
6. What you get
We grant you a limited, revocable, non-transferable license to use the owner dashboard, AI coach team, analytics, and lead-capture tools to manage your subscribed listing(s) during the paid term. The license ends when the subscription ends.
7. Your obligations
- Keep your listing accurate and current.
- Do not share dashboard credentials outside your business.
- Comply with the Acceptable Use Policy.
8. Service availability
We target 99.5% monthly uptime for the owner dashboard, excluding scheduled maintenance and events outside our reasonable control. Significant unscheduled outages may, at our discretion, be credited to your next invoice.
9. Suspension & termination
We may suspend or terminate your subscription for non-payment, violation of these terms or our Acceptable Use Policy, or to protect the Service. We may also terminate any subscription on 30 days' notice; if we do, we will refund the unused portion of fees you have already paid.
10. Limitation of liability
The limitation of liability in the Terms of Service applies to this Agreement. For paying owners, our aggregate liability under this Agreement will not exceed the amount you paid us in the twelve months before the claim.
