Terms of Service

Effective June 26, 2026 · This page is maintained by BlackPlate, LLC. It is provided as a plain-language summary and a binding agreement where applicable. It is not a substitute for legal advice.

1. Who we are

BlackPlate is a service operated by BlackPlate, LLC("BlackPlate", "we", "us"). These Terms of Service ("Terms") form a binding agreement between you and BlackPlate, LLC governing your access to and use of blackplate.com, its subdomains, and the BlackPlate mobile and web applications (collectively, the "Service").

2. Accepting these Terms

By creating an account, claiming a listing, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy. If you are using the Service on behalf of a restaurant or business, you represent that you have authority to bind that business.

3. Eligibility

You must be at least 13 years old to create a diner account, and at least 18 years old to claim a listing or subscribe to a paid plan.

4. Diner accounts

Diner accounts are free. You are responsible for keeping your credentials secure and for activity on your account. Reviews must be honest, based on a real visit, and comply with our Acceptable Use Policy.

5. Owner subscriptions

Restaurant owners may purchase a paid subscription (Starter, Pro, or Multi-Location) to manage one or more listings. Subscriptions renew automatically until canceled. You may cancel at any time from your owner dashboard; cancellation takes effect at the end of the current billing period and we do not pro-rate refunds for partial periods, except where required by law. Full subscription terms are in our Owner Subscription Agreement.

6. Listings & content

Owners are responsible for the accuracy of their listing content (hours, menu, pricing, photos, claims). You grant BlackPlate a non-exclusive, worldwide, royalty-free license to host, display, reformat, and promote content you submit, solely to operate and market the Service.

7. Reservations

BlackPlate facilitates reservation requests but is not a party to any agreement between a diner and a restaurant. We are not responsible for the food, service, availability, or conduct of any restaurant listed in the directory.

8. Intellectual property

The Service, including the BlackPlate name, logo, designs, and software, is owned by BlackPlate, LLC and protected by copyright, trademark, and other laws. See the LICENSE file in our source repository for source-code terms. You may not copy, scrape, mirror, or use our content to train AI models without our prior written permission.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms, our Acceptable Use Policy, or applicable law, or to protect the safety and integrity of the community.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

To the maximum extent permitted by law, BlackPlate, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability under these Terms will not exceed the greater of US$100 or the amount you paid us in the twelve months before the claim.

12. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict of laws principles. Disputes will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to that jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
